The Constitution of the IAP. Article 10. The Executive Committee
 

 

10.1.  There shall be an Executive Committee of the Association, which shall be the managing and administrative body of the Association and which shall have all necessary powers not expressly reserved for the General Meeting, the President or the Secretary General.
 
10.2.  Without prejudice to the generality of the preceding paragraph, the Executive Committee shall have the following powers and duties:
a)     to supervise and control the affairs of the Association generally;
b)    to adopt annual budgets and financial statements at the suggestion of the Secretary General;
c)     to adopt annual working programs at the suggestion of the Secretary General;
d)    to determine annual membership dues in accordance with Article 7;
e)     to admit applicants to organizational membership in accordance with Article 4 and to suspend the membership of or expel organizational members in accordance with Article 8.3;
f)      to submit to the General Meeting persons for honorary membership in accordance with Article 6;
g)     to organize receptions to the General Meeting and to report at the General Meeting on the activity of the Association;
h)    to make nominations to the General Meeting for the appointment of members of the Executive Committee and for the election of the President, the Vice-Presidents and the Secretary General;
i)       to suspend from membership of the Association members of the Executive Committee, and to recommend to dismiss such members or to dismiss the President, a Vice-President, the Secretary General in accordance with Article 10.6, 11.5, 12.4 and 13.5;
j)       to prepare, in conjunction with the Secretary General, appointed for the Conferences held pursuant to Article 15, to establishing of  Conference fees, programs and budgets, and to appoint a Conference Committee for the Annual Conference and, if deemed necessary, for any other Conference to assist in the preparation therefore;
k)    to make determinations in accordance with Articles 14.3, 14.4, 15.1, 15.2;
l)       to assist members in accordance with the objects of the Association;
m) to propose the establishment of committees of the Association by the General Meeting and to determine, whether before or after such establishment, the titles, functions, powers and procedures of such committees.
 
10.3.  The Executive Committee shall consist, in accordance with paragraph 10.3.B, of the President, the Vice-Presidents, the Secretary General and the General Counsel, who shall be members by virtue of held position, no fewer than 10 and no more than 21 other members (called «ordinary members of the Executive Committee» pursuant to this Article). The membership of the Executive Committee shall reflect, as far as it is reasonably possible, the regions of the world, in which the Association has members. The ordinary members of the Executive Committee, pursuant to paragraphs 4 and 5, shall be appointed by the General Meeting according to the nominations, made by the Executive Committee. In accordance with the paragraphs of 3.a., 5 and 6 and the Articles 14.2, they shall perform their functions for the period of three years beginning at the end of the General Meeting the year, in which their term of office begins, and at the end of the General Meeting the year, in which their term of office expires. They are eligible for reappointment. The ordinary members elected as the President, the Vice-president, the General Secretary, or General Council, shall be considered as members who have left their position as ordinary members of the Executive Committee.
 
10.3.A. Provisions of this paragraph are applicable to the ordinary members of the Executive Committee, regardless of terms of paragraph 3. The ordinary members of the Executive Committee, appointed in accordance with article 14.2 or co-opted in compliance with paragraph 5 at any time before the ending of the Annual General Meeting in 1999, shall serve a term that finishes upon termination of the meeting and shall have the right for re-appointment. Seven ordinary members of the Executive Committee, appointed at the Annual General Meeting in 1999, shall be chosen on a lot, must serve a term that finishes upon termination of the Annual General Meeting in 2000, and shall have the right on re-appointment. Other seven ordinary members of the Executive Committee, appointed in this manner, shall be chosen on a lot, must serve a term that finishes upon termination of the Annual General Meeting in 2001, and shall have the right on re-appointment. Other ordinary members of the Executive Committee, appointed in this manner, shall serve a term that finishes upon termination of the Annual General Meeting in 2002 and shall have the right on re-appointments. At the Annual General Meeting in 2002 and subsequent years, appointments of ordinary members of the Executive Committee by the General Meeting shall take place solely for filling of vacancies, met following the provisions of this paragraph. 
 

10.3.B. The President shall, immediately on the expiration of his term of office, become a supernumerary member of the Executive Committee for a term ending at the termination of the 3rd Annual General Meeting held after such expiration.

 

10.3.C. Paragraph 10.3.B. shall not be applied to the President, who has been dismissed pursuant to Articles Article 14.2.
 
10.4. Nominations for election to the Executive Committee shall be made by not less than 10% of the organizational members or by no fewer than one hundred individual members. Such nominations shall be submitted to the Secretary General at least three months before the General Meeting, at which the election or elections are due to be made. If no such nomination is received, the person or persons nominated by the Executive Committee shall be deemed to be elected.
 
10.5. At any time before the end of the Annual General Meeting in 1999, the Executive Committee may co-opt a member to fill a vacancy occurring among ordinary members of the Executive Committee and such co-opted member shall serve until the termination of the next General Meeting. When it’s ended, the Executive Committee may co-opt a member to fill a vacancy, meeting among the ordinary members of the Executive Committee, and such co-opted member shall serve until the expiration of term of the appointment of his predecessor.
 
10.6. A member of the Executive Committee may be suspended from membership by a resolution of the Executive Committee adopted by a two thirds majority of its members before the next convocation of the General Meeting, if continuation of his work as member of the Executive Committee is considered detrimental to the Association. The Executive Committee may, by a resolution adopted by a two thirds majority of its members, recommend to the General Meeting the dismissal of such a member of the Executive Committee if continuation of his work as member of the Executive Committee is considered detrimental to the Association.
 
10.7. The Executive Committee shall meet at least once a year and shall hold such other meetings as the President or the Secretary General or the Executive Committee may consider to be necessary. Any function of the Executive Committee may, however, be performed by means of telecommunication if, in the opinion of the President and the Secretary General, the circumstances do not permit or require the convening of a meeting of the Executive Committee. The time and place of meetings of the Executive Committee shall be proposed by the President or the Secretary General, subject to final decision by the Executive Committee.
 
10.8. In accordance with the paragraph 6, decisions of the Executive Committee shall be adopted by a simple majority of its members present and voting.
 

10.9. The Executive Committee may adopt its own rules of procedure. General principles of justice shall be observed, and in particular in relation to its functions in compliance with the articles 8.2, 10.6, 11.5, 12.4 and 13.5 it is necessary to guarantee that members, exposed under influence of its actions, shall be in an adequate position to say their question.
